This Evaluation Agreement (the “Agreement“) is entered into by and between Tanium and Customer, to permit the use of the Evaluation Services for evaluation purposes. The Effective Date of the Agreement and license(s) granted under this Agreement will be the later of the date that Customer accepts the terms and conditions herein or the date on which Tanium initially delivers an email that contains Customer’s unique Evaluation-Services-instance credentials that allow the Customer to access the Evaluation Services (“Credential Notice”). Tanium and Customer may be referred to collectively as the “parties” or individually as “party.” All capitalized terms not defined in this Evaluation Agreement shall have the meaning set forth in the Tanium as a Service Subscription Agreement (as defined below).
1. Evaluation Term. Notwithstanding anything to the contrary in the Subscription Agreement, Tanium agrees to provide Customer with access to the Evaluation Services for a period of fifteen (15) days (unless the Credential Notice provides a different evaluation period, in which case, the evaluation period provided in the Credential Notice applies), provided, however, the evaluation period may be extended for an additional twenty (20) days upon written (including email) authorization by Tanium.
2. If Tanium approves Customer’s use of the Evaluation Services by issuing a Credential Notice, Customer agrees to Tanium’s current applicable terms and conditions located at https://www.tanium.com/taas-subscription-agreement, which terms are hereby incorporated by reference (“Subscription Agreement”). The Subscription Agreement shall apply to the Evaluation Services, including Section 11.1 of the Subscription Agreement, and Customer’s use of it, except for the following different or additional terms which shall apply to the use of the Evaluation Services: (i) Customer’s access and use of the Evaluation Services is limited to use only by your employees and/or Managing Party, (ii) Customer represents that it is a bona fide potential customer of the Service that is evaluating whether to license such Service for deployment for its own internal use and not for the benefit of any third party, the development of any product or service, competitive trialing or use, or any other purposes; (iii) Tanium (or its authorized reseller) may terminate the evaluation access at any time and Customer shall cease use of the Service and remove all copies of the Evaluation Service’s object-code components from its Managed OS Instances, unless Customer has purchased a subscription to the Service prior to such termination. Unless otherwise agreed in writing, if and when Customer purchases a subscription to the Service, Customer hereby agrees to the then-current Subscription Agreement.
